Ooredoo Palestine Holds Its Regular and Extraordinary General Assembly Meeting for 2026
SadaNews - Ooredoo Palestine held its regular and extraordinary general assembly meeting in Ramallah, attended by shareholders, the CEO of the company, Dr. Samer Fares, as well as board members Dr. Firas Malhem and Dr. Hussein Al-Araj, a representative from the Telecommunications Regulatory Authority, and the registered companies representative Mrs. Liana Atrash, along with representatives from the Palestinian Capital Market Authority, Palestine Stock Exchange, and Mr. Mousa Hosseini representing PricewaterhouseCoopers Palestine, in addition to the company’s executive management. Dr. Firas Malhem delivered the board's speech as the session's chair.
The meeting began with a moment of silence in honor of the martyrs of our people, followed by the announcement by the registered companies representative confirming the legality of the session in the presence of the legal quorum of shareholders. The attendees then listened to the board's report on the company's activities for 2025, and the CEO's remarks on the company's performance and financial and operational results during the year.
The ordinary general assembly meeting also included a presentation of the external auditor's report for the financial year ending December 31, 2025, discussions on the financial statements, the ratification of the board members' accounts for the financial year 2025, and the election of PricewaterhouseCoopers as the company's auditor for the financial year 2026, all of which were approved and ratified by the ordinary general assembly with necessary decisions taken accordingly.
In his speech, the session chair, on behalf of the board, affirmed the company's continuation in its national and economic roles and its unwavering commitment to work firmly amidst challenges, emphasizing the company’s dedication to strengthening its institutional stability and maintaining the trust of shareholders and subscribers.
For his part, the CEO of Ooredoo Palestine, Dr. Samer Fares, indicated that the company achieved strong financial and operational performance in 2025 despite economic challenges, recording revenues of 106 million USD, while operational profits before tax, interest, depreciation, and amortization (EBITDA) reached approximately 40.8 million USD. The company's net profits stood at 15.1 million USD, and the number of subscribers rose to 1.491 million by the end of the year, reflecting the strength of financial and operational performance and continued trust from subscribers in the company's services.
Following the conclusion of the ordinary general assembly meeting, Ooredoo Palestine proceeded to hold the extraordinary general assembly meeting, which focused on discussing the items on the agenda according to legal procedures. The proposed topics were reviewed and voted on, and it was approved to use the issuance premium to cover part of the accumulated losses as of December 31, 2025. Additionally, it was agreed to reduce the company’s capital by decreasing the number of shares to cover the remaining accumulated losses, bringing the capital down to 176,611,163 USD instead of 293,000,000 USD, which serves the interest of the company and its shareholders and strengthens its financial position.
The board confirmed that this step is a legal and regulatory measure aimed at enhancing the company’s financial position and reinforcing its stability, enabling it to distribute future profits and protect the interests of all shareholders while supporting its long-term stability.
The meeting concluded with the affirmation of Ooredoo Palestine's commitment to continue its path towards achieving sustainable growth, enhancing its financial and operational performance, and elevating the quality of telecommunication services and digital solutions provided to its subscribers across various governorates in the homeland, positively reflecting on its future results and reinforcing the trust of its subscribers, partners, and shareholders.
